Working with ICT Media Services

Summary

We’ll always do our best to fulfil your needs and meet your expectations, but it’s important to have things written down so that we both know what’s what, who should do what and when, and what will happen if something goes wrong.
In this contract, you won’t find any complicated legal terms or long passages of unreadable text. We’ve no desire to trick you into signing or agreeing to something that you might later regret. What we do want is what’s best for both parties, now and in the future.

What do both parties agree to do?

You:

You have the authority to enter into this contract on behalf of yourself, your company or your organisation.
You’ll give us everything we need to complete the project as and when and in the format we need it.
You’ll review our work, provide feedback and approval in a timely manner too.
Deadlines work two ways, so you’ll also be bound by dates we set together.
You also agree to stick to the payment schedule set out in your proposal or email.

Us:

We have the experience and ability to do everything we’ve agreed with you and we’ll do it all in a professional and timely manner.
We’ll endeavour to meet every deadline that’s set.
We’ll maintain the confidentiality of everything you give us.

Website Design

For website design, 50% of the overall cost is payable upfront before work begins. This is non-negotiable and non-refundable​ and is for the work we put in before a website is ready to go live.
 
The remainder needs to be paid before the website is made live. Until full payment is made, the website will not be made live.  Once we have completed the site and is ready to go live, full payment must be made within 7 days.

Your website will not be put to ‘live’ status until your final invoice is paid in full.
If you delay paying or achieving ‘go-live’ by adding extra work and additional requirements to the website project, extra costs will be incurred and an interim invoice will be issued for these charges (in addition to the final invoice).

If you delay the project in any way, such as not providing all text content, graphics and images to be used, by project start date, your project may be placed on hold and an administration charge of £100 may be incurred to reinstate the project, plus all project dates will need to be reassessed and planned to factor in other work.

Website Hosting

If we have designed and built your website, then it will be hosted on our hosting service. There is a yearly cost involved for hosting a website, plus a cost involved for renewing your website domain.

Non-payment terms:

Payment 7 days overdue – immediate suspension of the ​website until payment is received

Payment 30 days overdue – removal of hosting and website – £50 admin charge required to restore the website

Payment 60 days overdue – account & website permanently deleted from our system and will be unrecoverable

Website Design Services

We create look-and-feel designs, and flexible layouts that adapt to the capabilities of many devices and screen sizes. We cannot design for all screen sizes and browsers, as these are continually changing. What we do instead is design for the majority of screen sizes and browsers; for the most popular. We don’t design or take into account legacy browsers and operating systems, such as 2 or so versions back of internet explorer (most modern, current websites with current functionality and coding won’t ever work on legacy browsers, or can take many hours of intricate development work to achieve little for few visitors).

We create designs iteratively and use predominantly HTML and CSS so we won’t waste time mocking up every template as a static visual. We will supply images of templates we suggest we use as a basis for your bespoke website. We will supply a wireframe image to demonstrate the elements we will include on your website homepage, which we will require you to sign off prior to project start, and which we will work towards throughout the project duration. You will need to highlight any changes at this point as once signed off, any changes required may be subject to extra cost due to extra work incurred, and may result in a delay in the project completion.
You’ll have plenty of opportunities to review our work and provide feedback.

We’ll have regular contact by email as images can then be emailed, and we both have copies of what has been discussed and agreed. Whilst we do have a telephone, if you require weekly or more frequent telephone updates, we will need to factor in charging for these calls as they take time away from actually working on your project or any other project work, plus calls cost money. Just being honest, as we believe that you don’t need to be in contact each week or more frequently.

If, at any stage, you’re not happy with the direction our work is taking, you’ll pay us in full for everything we’ve produced until that point and cancel this contract.

Text content

We’re not responsible for writing ANY text copy.

You will provide the content that we are to add to the websites before we can start any work on your site. 

If you want us to write the copy for your website, we can do this for you, but this would involve lots of extra work and time, and we would have to charge you for it. If you are interested, please feel free to speak to us.

Graphics, images and photographs

You should supply graphic files in an editable, vector digital format or supply photographs in a high-resolution​ digital format before we can begin working on creating your site.

If you choose to buy stock photographs, we can suggest stock libraries.

If you’d like us to search for photographs for you, we can provide a separate cost estimate for that work (as it takes time!).

COPYRIGHT Rules

First, you guarantee that all elements of text, images or other artwork you provide are either owned by your good selves​ or that you’ve permission to use them.

We will NOT accept any images that have been copied or downloaded from search engines, other websites or other digital sources.

You must have either taken the images you supply to for use on your website yourself (or paid someone to do this for you, and which allows for use on your website, designed the images yourself (or paid someone to design the images for you, for use on your website), obtained the images/graphics from a source that supplies images that are free for commercial use with a commercial use licence, or bought from a source with the correct commercial use on a website licence.

If you wish to display logos or similar badges on your website, you will need to obtain permission from the owner, and obtain the correct files from the owner (NOT hover, right click, save as/download image).

We will NOT breach copyright laws whilst designing your website on your behalf.

Browser Testing

Browser testing no longer means attempting to make a website look the same in browsers of different capabilities or on devices with different size screens. It does mean ensuring that a person’s experience of a design should be appropriate to the capabilities of a browser or device.

We design responsive websites, that are suitable to be displayed on the majority of screen resolutions and sizes. We cannot, however, design for all as sizes are constantly changing, and this is NOT achievable!

Changes and revisions

The price at the beginning of this contract is based on the number of weeks that we estimate we’ll need to accomplish everything you’ve told us you want to achieve, but we’re happy to be flexible.
If you want to change your mind or add anything new, that won’t be a problem as we’ll provide a separate cost estimate for those additional weeks.

Website Copyright Ownership

When your final payment has cleared, copyright will be automatically assigned as follows:
You’ll own the visual elements that we create for this project. We’ll give you source files and finished files and you should keep them somewhere safe as after ‘go-live’, we won’t keep a copy of the files. You own all elements of text, images and data you provided unless someone else owns them.

We’ll own the unique combination of these elements that constitute​ a complete design and we’ll license its use to you, exclusively and in perpetuity for this project only, unless we agree otherwise.

Displaying our web design work

We love to show off our work, so we reserve the right to display all aspects of our creative work, including sketches, work-in-progress designs and the completed project on our website, in portfolios and in articles on websites, in magazine articles and in books.

Search Engine Optimisation

We cannot guarantee any improvement to a search engine ranking, nor can we promise to get a site higher up or to the ‘top of Google’. Search engine results are constantly fluid, and ranking placements cannot ever be guaranteed, either in time or location.

Our SEO services are supplied in three parts:
Website Audit
Keyword Research
Implementation

Each part can be purchased as a standalone service or all three can be purchased as a package.
You will receive a project proposal with a time estimate for the project and the costs involved, and the amount to be paid to imitate the project.

Payment of the initial project payment will be regarded as project sign off.
Upon full payment, you will be supplied with a report of the work that has been carried out, plus any suggestions for future improvements.

Website Analytics Set Up

50% of the overall cost is payable upfront before work begins. This is non-negotiable and non-refundable​ and is for the work we put in to set up the project. The remainder of the costs will be required 7 days after project completion.

Upon full payment, you will be supplied with a report of the work that has been carried out, plus any suggestions for future improvements.

Virtual Website Manager Services

There is an initial set up charge for this service. This is to allow for time to get orientated with the whole of the website, the content and collate an audit of what work is required.

After the initial work, you will be supplied with a report of what our initial work found and what we propose needs to be done on your website to update it and get it to a point ready for regular maintenance and any future development work.

In the first month, you will receive an invoice with the initial set up charge, plus the charge for the month’s work. Each month after the first month, you will be sent an invoice for the month ahead work. The invoice will need to be paid as soon as possible​ and within 7 days of sending. If it is not paid within this timescale, no work will be undertaken in the next month, until payment is received.

Legal stuff

We can’t guarantee that our work will be error-free and so we can’t be liable to you or any third-party for damages, including lost profits, lost savings or other incidental, consequential or special damages, even if you’ve advised us of them.

If any provision of this contract shall be unlawful, void, or for any reason is unenforceable, then that provision shall be deemed severable from this contract and shall not affect the validity and enforceability of any remaining provisions.

Payment schedule

We’re sure you understand how important it is as a small business that you pay the invoices that we send you promptly. As we’re also sure you’ll want to stay friends, you agree to stick tight to the payment schedule, as stated for each service above.

Invoicing

We issue invoices electronically. Our payment terms are 7 days from the date of invoice. The appropriate bank account details will be printed on our electronic invoice. We reserve the right to charge interest on all overdue debts at the rate of 10% per month or part of a month and restrict or remove any service that is unpaid.
